David Gellen, partner, is a member of and chair of the firm’s Corporate Practice Group. He has practiced for almost 30 years and advises clients on the legal aspects of business planning, including entity formation, organization, restructuring and ongoing corporate governance matters. Mr. Gellen routinely assists clients with negotiating complex commercial transactions including the purchase and sale of their businesses, whether by stock, asset or other means, spanning a wide range of industries, including, but not limited to, technology, e-Commerce, consumer products, entertainment, hospitality, and healthcare.
Susan Roeder Martin, partner, is a member of the firm’s Administrative and Governmental and Environmental and Land Use Practice Groups and practices environmental and administrative law for a multitude of different clients including developers, mitigation banks, public entities and others. She has practiced law for almost 40 years, formerly as a “practice expert attorney” with the South Florida Water Management District and earlier as a corporate attorney and Lobbyist with Florida Power and Light. Ms. Martin is the chair of the Environmental and Land Use Law Section (ELULS) of the Florida Bar, editor of the ELULS Florida Bar Journal Column. She is also AV Preeminent rated by Martindale Hubbell. She is a frequent publisher and speaker throughout Florida on environmental topics.
Michael Nullman, partner, has practiced law for nearly 20 years and is a member of the firm’s Commercial Litigation Practice Group. He advises clients on a diverse mix of business disputes and handles litigation in Florida state and federal courts in connection with a wide array of corporate, restrictive covenants, real estate, construction, contractual, landlord/tenant, and a multitude of other business-related matters.
Gloria M. Velazquez, partner, has practiced law for 25 years and is a member of the firm’s Administrative and Governmental and Environmental and Land Use Practice Groups. Her practice areas include land acquisition, due diligence, land use and zoning, permitting and local government law representing local governments. Ms. Velazquez’ major representative projects include residential urban high-rises, residential large-scale suburban communities, mixed-use developments, retail, commercial, institutional, and utility siting. Ms. Velazquez has been recognized with various legal awards of distinction in her practice areas throughout her career. As a life-time Girl Scout mentor and volunteer, she currently serves on the Board of Girl Scouts of Tropical Florida.
Brian S. Bernstein, partner, has practiced law for 15 years and is a member of the firm’s Securities and Corporate Practice Groups. His securities practice includes counseling on corporate governance and securities law issues, assisting individuals and corporations seeking to raise capital, preparing registration statements, private offering memoranda and various filings with the Securities and Exchange Commission. Mr. Bernstein’s corporate practice includes counseling clients concerning employment issues and preparing employment, stock option, termination and other agreements related to employment. Further, he counsels clients about stock exchange rules, and assists directors regarding corporate governance and their responsibilities under federal and state law.
