John W. Bizanes is an attorney at Nason Yeager. Mr. Bizanes works primarily in the areas of Corporate and Business Transactions. He is dedicated to advising corporate clients in connection with a wide array of corporate transactions, including mergers and acquisitions, equity and debt transactions, corporate restructurings, private equity, venture capital, joint venture and other strategic licensing arrangements including the preparation of development, manufacturing, distribution, supply, reseller and outsource agreements, and cross-border transactions.
He also provides general corporate counseling in areas such as corporate governance, securities disclosures, regulations and compliance, internal investigations, including 10A investigations, data privacy and security, fiduciary duties, and related director and officer responsibilities. He drafts, negotiates, plans, and prepares business and corporate contracts, including operating agreements, contracts for the purchase and sale of assets, stock, or limited liability company interests, merger agreements, non-competition agreements, confidentiality agreements, consulting agreements, employment agreements, shareholders agreements, loan and security agreements, and promissory notes.
Before joining Nason Yeager, Mr. Bizanes received his J.D. from The John Marshall Law School in Chicago, Illinois. While at John Marshall, he served as a research associate where he reviewed and edited the most recent edition of Illinois Legal Research and contributed to a week-long CLE program for new law professors in Egypt.
After graduation, Mr. Bizanes practiced litigation, representing clients in civil, commercial, and criminal matters throughout Chicago. He aggressively and successfully represented clients in a variety of matters ranging from eviction and landlord/tenant issues to armed robbery and DUI.
