Bill Romanos is Special Counsel at Nason Yeager. Mr. Romanos focuses his practice in the areas of corporate and securities law. His practice includes representing public and private companies engaging in capital market transactions, including public offerings, private offerings, and private placements.
His securities law practice includes counseling clients with respect to, and preparing and reviewing, Securities Act of 1933 and Securities Exchange Act of 1934 filings, including registration statements, Forms 10-Ks, 10-Qs, 8-Ks, Schedule 13Ds, Schedule 13Gs, and Information and Proxy Statements.
His corporate practice includes counseling clients in connection with corporate governance, and general business and corporate law, as well as a variety of corporate transactions, including mergers and acquisitions.
He also represents hedge funds, investment advisers, and broker-dealers in connection with regulatory and compliance matters involving the Securities and Exchange Commission (SEC) and the Financial Industry Regulatory Authority (FINRA).
Prior to joining Nason Yeager, Mr. Romanos was with FINRA for over 12 years where he served in roles including as an examiner and investigator. He conducted complex investigations of broker-dealers and registered representatives for regulatory compliance with U.S. Federal securities laws and regulations, FINRA Rules, MSRB rules, and SEC Rules and Regulations. Before FINRA, Mr. Romanos was a registered representative and investment adviser with Morgan Stanley.
Mr. Romanos also previously practiced corporate and securities law in private practice, and was general counsel to two companies involved in aerospace and defense (a drone company and an engineering company involved in turbo machinery, including jet engines).
