Lori A. Weber is Of Counsel at Nason Yeager, where she is a member of the firm’s Securities practice group. With more than 30 years of experience, Ms. Weber focuses her practice on federal securities and exchange laws, investment management, corporate governance and regulatory compliance. Her practice spans the Securities Act of 1933, the Securities Exchange Act of 1934, the Investment Company Act of 1940, the Investment Advisers Act of 1940 and applicable stock exchange rules and listing requirements.
Ms. Weber is also an Adjunct Professor of Law at Nova Southeastern University Shepard Broad College of Law, where she teaches Securities Regulation.
Ms. Weber brings deep in-house and law firm experience representing public and private companies, investment advisers and registered investment companies. Most recently, she served as General Counsel for TouchSuite® and its affiliated entities, where she advised on regulatory compliance, corporate governance, mergers and acquisitions, finance, B2B lending, real estate, marketing, employment matters and litigation oversight.
Prior to that role, Ms. Weber spent more than 25 years at Franklin Templeton, a global investment management organization with operations in over 150 countries, where she served as Vice President and Senior Associate General Counsel. In that capacity, she served as lead counsel to more than 40 U.S. registered investment companies encompassing over 100 funds. Her responsibilities included advising fund boards and senior management on regulatory compliance, disclosure, risk management, proxy and shareholder matters, and corporate governance. She also led legal oversight of global proxy voting and substantial shareholder regulatory reporting across more than 60 jurisdictions and served as lead counsel on matters arising under Sections 13 and 16 of the Securities Exchange Act of 1934, as well as OFAC and global sanctions compliance.
Earlier in her career, Ms. Weber practiced as a corporate and securities associate at Willkie Farr & Gallagher LLP in New York, where she represented issuers and underwriters in public and private offerings, mergers and acquisitions and corporate finance transactions. She also served as a law clerk to the Honorable Conrad B. Duberstein, Chief Judge of the United States Bankruptcy Court for the Eastern District of New York, and held business roles in the securities industry, including Vice President of Trading and Operations for a New York-based broker-dealer.
She earned her Juris Doctor from St. John’s University School of Law and her Bachelor of Science in Marketing from St. John’s University College of Business Administration. Ms. Weber is admitted to practice in Florida and New York and before the United States District Court for the Eastern District of New York.
