Constantine Christakis is a shareholder at Nason Yeager whose securities and corporate law practice includes:
- Advising both publicly traded and privately held entities in connection with capital raising and acquisition transactions as well as securities compliance matters arising under the federal and state securities laws and related rules and regulations promulgated and enforced by the Securities and Exchange Commission and state securities agencies.
- Guiding issuers through parallel rules governing their securities which are overseen by securities exchanges and self-regulatory organizations operated by the Nasdaq Stock Market, the New York Stock Exchange, the OTC Markets Group and FINRA.
- Represents hedge funds and other investors in connection with investments in public and private companies, beneficial ownership disclosures and relates compliance and transactional matters.
- Assisting clients with general corporate and commercial matters which regularly arise in the operation of a business.
- Planning, structuring and negotiating and advising on complex business arrangements and transactions including operating agreements, entity formation documents, corporate fiduciary duties and procedures, securities purchase agreements, convertible debt and equity instruments, public and private securities offerings, private placement memoranda, business acquisitions, merger agreements, joint ventures, asset purchase agreements, securities exchange agreements, operating agreements, employment agreements, compensation plans and arrangements, shareholder agreements, independent contractor agreements and non-disclosure agreements.
Mr. Christakis has worked with clients in a broad spectrum of industries ranging from energy, real estate, corporate lending, manufacturing, and telecommunications to technology, cryptocurrencies, digital assets, biopharmaceutical research and alcoholic beverages.
In his free time, Mr. Christakis enjoys playing the drums, watching and playing basketball, football and soccer.
