David J. Gellen is chair of the firm’s Corporate Practice Group. David represents public and private companies and entrepreneurs in a diverse group of industries including technology and e-Commerce, consumer products, entertainment, energy, hospitality and healthcare. He advises clients regarding a variety of business transactions, including mergers and acquisitions involving a wide range of industries. His practice includes providing business advice to his clients including counseling them on corporate governance, business formation, structuring, intellectual property matters and negotiating contracts including operating agreements, shareholder agreements, joint venture agreements, license agreements, employment agreements, among others as well as providing regulatory and compliance advice including fiduciary duties and related director and officer responsibilities, conducting internal investigations, data privacy and security including providing advice with respect to online terms of use, terms of sale and privacy policies.
Richard H. Levenstein leads the firm’s Health Care Practice, and has practiced for over 40 years, and assists clients in the areas of physician and medical staff representation, licensing, peer review and credentialing, and litigation related to health care issues of all kinds. Mr. Levenstein also handles business disputes, including actions arising from contracts or torts and his practice strongly focuses on representing individual physicians, professional medical practices, and the physician leadership of organized medical staffs around the State. Further, Mr. Levenstein is a Board-Certified Business Litigation Lawyer and represents clients in state and federal court, and in administrative proceedings.
Nathan E. Nason is a founding partner of Nason Yeager and currently serves as Of Counsel to the firm. For more than 25 years, he has practiced complex commercial litigation throughout South Florida and developed a robust environmental law practice. Mr. Nason’s litigation experience spans a wide range of industries and legal areas, including construction litigation, corporate disputes, intellectual property matters, employment law, land use, real estate transactions, trust and estate litigation, and various aspects of UCC and secured transactions. He also has substantial experience in environmental regulatory matters and permitting, as well as administrative law.

Michael J. Caramadre is a member of the firm’s Real Estate, Lender Representation, and Corporate and Business Transactions Practice Groups. Known for his ingenuity, strategic thinking, and sharp negotiation skills, Mr. Caramadre is frequently retained by state, national, and international clients to handle complex real estate and business matters. He regularly advises developers, private equity firms, institutional and private lenders, and business owners in a wide range of matters, including real estate acquisition and development, commercial and residential leasing, land use and development, and business structuring. His practice includes negotiating and drafting purchase and sale agreements, lease agreements, loan documentation, condominium and homeowners’ association documents, operating agreements, and other key corporate instruments.
Constantine Christakis is a shareholder at Nason Yeager, where he focuses his practice on securities and corporate law. He advises both publicly traded and privately held companies on capital raising, mergers and acquisitions, and compliance with federal and state securities laws, including regulations enforced by the SEC and state agencies. He also guides clients through the regulatory frameworks of major securities exchanges and self-regulatory organizations such as Nasdaq, the New York Stock Exchange, OTC Markets and FINRA. Additionally, Mr. Christakis represents hedge funds and other investors in connection with investments in public and private companies, beneficial ownership disclosures and related compliance and transactional matters. Mr. Christakis also counsels clients on a wide range of general corporate and commercial matters, regularly structuring, negotiating and advising on complex business transactions involving entity formation, corporate fiduciary duties and procedures, securities purchase agreements, convertible debt and equity instruments, public and private securities offerings, business acquisitions, joint ventures, employment agreements, compensation plans and arrangements, shareholder agreements and non-disclosure agreements. He has represented clients spanning diverse industries including energy, real estate, corporate lending, manufacturing, telecommunications, technology, cryptocurrencies, biopharmaceutical research and alcoholic beverages.
